Quantum eMotion to Acquire Plurilock in C$33.8M Deal

Quantum eMotion to Acquire Plurilock in C$33.8M Deal

Quantum eMotion has signed a definitive agreement to acquire Plurilock Security through a court-approved plan of arrangement, announced on September 28, 2026. Quantum eMotion specializes in quantum-secure cybersecurity technology development, whereas Plurilock offers authentication, identity, and AI-driven cybersecurity services to enterprise and government clients. This acquisition is notable because it combines a company still validating its core technology with one that already generates cybersecurity revenue, a rare occurrence in a sector often rich in promises but short on paying customers.

Deal Terms and Stage

Specifically, this transaction is an announced agreement, not a finalized deal. Quantum eMotion intends to purchase all outstanding Plurilock shares via a plan of arrangement under British Columbia’s Business Corporations Act.

  • Total Value: C$33.8 million (approximately US$23.8 million).
  • Consideration: 30% cash and 70% shares, according to Plurilock CEO Ian L. Paterson.
  • Fairness Opinion: Provided by Paradigm Capital, with a unanimous recommendation from Plurilock’s Special Committee.
  • Expected Close: Shortly after Plurilock’s anticipated November 2026 shareholder meeting, subject to fulfillment of conditions.
  • Conditions: Includes shareholder, court, regulatory, and other necessary approvals.

Francis Bellido, Quantum eMotion’s President and CEO, willl lead the combined entity. Paterson should become Executive Vice-President, Cybersecurity and Critical Services, and CFO Veera Singh will assume a senior finance and operations role.

Plurilock’s Contribution to Quantum eMotion

Plurilock operates an established cybersecurity business with over 25 years of experience, serving enterprise and government clients, and holding procurement positions across Canada, the United States, and NATO. Its services encompass identity, authentication, and AI-driven risk analysis. Quantum eMotion, founded in Montreal in 2007, focuses on developing quantum random number generation, entropy technology, and quantum-safe cryptographic tools.

The actual integration of their respective technological stacks remains a future consideration. The companies have outlined a post-closing strategy that includes customer segmentation, pilot programs, cross-selling initiatives, and the formation of a joint integration team prior to closing, followed by a 100-day commercial plan. Currently, no integrated product exists.

Key Factors to Monitor Before Closing

The “quantum-safe” designation primarily exists at the roadmap level at this stage. Quantum eMotion’s eCore-Q entropy technology has been submitted by Lightship Security for validation under NIST SP 800-90B, and its SecureKey Cryptographic Module holds an “Implementation Under Test” designation for FIPS 140-3. Neither has received validation yet, as the company openly states, and submission does not guarantee a successful outcome.

For market observers, this acquisition aligns with a broader trend of consolidation and governmental strategic positioning within the sector, evident from Virginia’s new quantum hub to open-source releases such as Fujitsu’s quantum package. Attention should be paid to the shareholder vote, court approval, and how revenue is reported once Plurilock’s figures appear in a combined filing. Until then, this remains a signed agreement, and the product integration is still a plan.
