IonQ Clears Final Approval to Buy Chipmaker SkyWater

IonQ has cleared its last regulatory hurdle to acquire SkyWater Technology, a U.S. semiconductor foundry, and plans to close the $1.8 billion deal on July 31. The move hands the quantum computing company its own chip factory instead of leaving it dependent on outside fabs to build its hardware. SkyWater keeps its name and runs as an IonQ subsidiary, still serving its own foundry customers.

What IonQ is acquiring from SkyWater

According to the July 28 report, IonQ and SkyWater announced the deal on January 26, valuing SkyWater at about $1.8 billion, or $35 per share split between $15 in cash and $20 in IonQ stock. SkyWater shareholders have since approved it, and with regulators now signed off, the companies say they expect to complete the transaction on July 31. A second-quarter earnings call is on August 5, followed by an investor day on September 8.

IonQ bills itself as “the world’s leading quantum platform company” and calls SkyWater “the largest exclusively U.S.-based semiconductor foundry,” both of which are the companies’ own descriptions. What’s concrete is the structure. SkyWater continues as a full-service foundry for outside customers even as it operates wholly inside IonQ.

Why IonQ wants its own semiconductor foundry

The logic is vertical integration. Most quantum hardware companies rely on external chip fabs, so owning one is an unusual bet on controlling the supply chain end to end, and doing it on domestic soil. IonQ frames the deal as a way to “materially accelerate” its roadmap and secure a “fully scalable” supply chain, which are expectations for the combined company rather than results it can yet show. The strategic reasoning is real even if the payoff is unproven.

It also fits a wider pattern. Quantum firms are buying their way into hardware expertise, as with IBM’s move to acquire HRL Labs, and governments and companies alike are pushing to build a domestic quantum supply chain and the fabrication base to support it, with regional hubs like Illinois’s quantum and microelectronics park chasing the same goal. For IonQ, a foundry it controls aims to turn that supply-chain question into an in-house one, part of the same commercial positioning behind its enterprise business-value benchmark.
